By accessing, browsing, or purchasing from the CNX Offroad website (the "Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"), our Return Policy, and all applicable laws and regulations. If you do not agree, you must discontinue use of the Site immediately. These Terms constitute a legally binding agreement between you and CNX Offroad Supply Co. ("CNX Offroad," "we," "us," or "our").

You must be at least 18 years old and capable of forming a binding contract to use this Site or make purchases. You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Site.

Prohibited conduct includes but is not limited to:

• Using the Site for any fraudulent, unlawful, or abusive purpose
• Interfering with or disrupting the Site, servers, or networks
• Attempting to gain unauthorized access to any portion of the Site
• Scraping, harvesting, or collecting data from the Site using automated means
• Impersonating any person or entity, or misrepresenting your affiliation

We reserve the right to suspend or terminate your access to the Site at our sole discretion, without notice, for any violation of these Terms.

Certain features of the Site require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We are not liable for any loss or damage arising from your failure to safeguard your account information. You may not transfer, sell, or share your account to a third party.

We make every effort to display product information, specifications, pricing, and availability as accurately as possible. However, errors may occur. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice — including after an order has been submitted.

Pricing errors: In the event a product is listed at an incorrect price due to typographical or system error, we reserve the right to refuse or cancel any orders placed for that product, even if the order has been confirmed and your payment method charged. If your payment method has already been charged, we will issue a full refund.

Images & descriptions: Product images are for illustrative purposes only. Actual product appearance may vary depending on manufacturer revisions, vehicle fitment, and display settings. Always verify fitment and compatibility before ordering.

Availability: All items are subject to prior sale. If an item becomes unavailable after you place an order, we will notify you promptly and issue a full refund for the unavailable item.

Placing an order constitutes an offer to purchase products subject to these Terms. We reserve the right to accept or decline any order for any reason, including but not limited to product unavailability, pricing errors, suspected fraud, or inability to verify payment information.

Payment: We accept the payment methods displayed at checkout. By submitting payment information, you represent and warrant that you are authorized to use the designated payment method. All transactions are processed securely through our payment processor. We do not store complete credit card numbers on our servers.

Order confirmation: An order confirmation email does not constitute acceptance of your order. Acceptance occurs when the item ships and you receive a shipping confirmation with tracking information.

Sales tax: Applicable sales tax will be calculated and charged based on the shipping destination and current state/local tax laws.

Shipping costs, methods, and estimated delivery times are presented at checkout and vary by product size, weight, and destination. Delivery dates are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, weather, customs, or other circumstances beyond our reasonable control.

Freight & LTL shipments: Large or heavy items may ship via freight carrier. The recipient is responsible for inspecting freight shipments upon delivery, noting any visible damage on the delivery receipt, and refusing damaged freight when appropriate. Failure to do so may limit or void your ability to file a damage claim.

Risk of loss: Title and risk of loss pass to you upon delivery to the carrier. You are responsible for filing claims for lost or damaged shipments with the carrier, though we will assist where possible.

All returns and cancellations are governed by our Return Policy, which is incorporated into these Terms by reference. By placing an order, you agree to the restocking fees, condition requirements, non-returnable item categories, and RMA procedures outlined in that policy.

All content on this Site — including text, graphics, logos, images, videos, product descriptions, software, and code — is the property of CNX Offroad or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content without our prior written consent.

The CNX Offroad name, logo, taglines, and distinctive branding elements are trademarks of CNX Offroad Supply Co. and may not be used without express written permission.

If you submit reviews, photos, comments, or other content to the Site, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, publish, and display that content in any media. You represent that you own or control all rights to the content you submit and that it does not violate any third-party rights or applicable laws.

We reserve the right to remove or refuse to publish any user-generated content at our sole discretion, without obligation or notice.

THE SITE AND ALL PRODUCTS, CONTENT, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF DEALING.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION ON THE SITE.

Product warranties, if any, are provided by the original manufacturer and are separate from these Terms. We will assist with warranty claims where possible, but we are not the warrantor. Please consult the manufacturer's documentation for specific warranty terms, coverage periods, and claim procedures.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CNX OFFROAD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of, or inability to access or use, the Site
• Any conduct or content of any third party on the Site
• Any content obtained from the Site
• Unauthorized access, use, or alteration of your transmissions or content
• Errors, mistakes, or inaccuracies in product information or pricing
• Personal injury or property damage arising from product installation, use, or misuse

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, OR $100 USD, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless CNX Offroad and its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including but not limited to any user-generated content you submit, any use of the Site's content, services, and products other than as expressly authorized in these Terms, or your violation of any law or the rights of a third party.

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, termination, or validity thereof, shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Dallas, Texas, unless otherwise agreed by the parties. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Class action waiver: YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A CLASS ACTION OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION AGAINST CNX OFFROAD. The arbitrator shall not have authority to conduct proceedings on a class or representative basis.

Small claims: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the scope of its jurisdiction, provided the action remains on an individual, non-class basis.

The Site may contain links to third-party websites, services, or content that are not owned or controlled by CNX Offroad. We do not endorse, assume responsibility for, or make any representations regarding the accuracy, content, or practices of any third-party websites. Your use of third-party sites is at your own risk and subject to their respective terms and policies.

Shopify and other third-party service providers may be used to power portions of the Site (e.g., checkout, product catalog). Your interactions with these services are governed by their respective terms of service and privacy policies.

We may revise these Terms at any time in our sole discretion. Changes will be effective immediately upon posting the revised Terms to the Site with an updated "Last updated" date. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms, and the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

These Terms, together with our Return Policy and any other policies referenced herein, constitute the entire agreement between you and CNX Offroad regarding your use of the Site and supersede all prior or contemporaneous agreements, understandings, or communications, whether oral or written.
